Every Swedish company must identify the natural persons who ultimately own or control it and report them to Bolagsverket, normally within four weeks of registration. The entry is public, and it must be kept current — a change in the ownership chain triggers a fresh filing.

For a company owned by one or two individuals the analysis is trivial. For a company sitting under a foreign group, a fund structure, or a chain of holding companies, it is not. The question is not who appears on the share register but who ultimately controls, and control can arise through shareholders' agreements and voting arrangements rather than shareholdings alone. Getting it wrong produces a public register entry that is wrong, which is worse than a late one.
